Effective Disclosure: the first nine months - clear, concise and effective?
Welcomed by some market participants as an opportunity, and viewed by others as a challenge, FMA’s ‘Guidance Note: Effective Disclosure’ aimed to provide issuers and their directors with an understanding of the approach FMA intends to take in reviewing offer documents for compliance with the law and of FMA’s views on good practice for preparing them.
Sue Brown, FMA’s Head of Primary Regulatory Operations, will talk about how the market has responded in the first nine months – are disclosures clear, concise and effective or is there more work to do? What concerns has FMA raised with issuers and their advisers and how have they been resolved? How can issuers and their directors and senior managers use the guidance to lift performance above the bare minimum and sponsor a culture of integrity and good conduct? What lies ahead under the Financial Markets Conduct Bill?
