About the Role

We’re looking for a talented individual with great attention to detail to join our Legal & Regulatory Affairs team as Governance Officer. 

The purpose of this role is to ensure the delivery of effective governance operations that are aligned with the strategic direction of the Bank, the priorities of the CEO, and the needs of the Board. This role will ensure that Management is effectively enabled to engage with the Board and that the Board operates in an efficient and compliant way.

Some of the key responsibilities of this role include:

  • Developing and leading the operating disciplines and rhythms for the Board including ensuring the Board has the appropriate governance structures and operating mechanisms in place, and these are understood and operating effectively. 
  • Delivering a strategic approach for Board activity that is aligned with business priorities. This includes forward planning.
  • Ensuring the delivery and upkeep of appropriate governance documentation, including the Board manual and associated processes and procedures. 
  • Lead day to day governance operations, including all Board related activity, including but not limited to: meeting scheduling and logistics, assisting with the preparation and distribution of papers, drafting and circulation of minutes, records management, and distribution and monitoring of actions arising from meetings.
  • Contributing to strengthening the relationship with TSB shareholders and the Board by supporting the Associate General Counsel- Regulatory Affairs & Governance to deliver strategic governance advice and support to the CEO, the Board and the Chair.

The ideal candidate for this role will have:

  • 5+ years Governance experience
  • 5+ years organisational experience in a business environment
  • Ability to document processes / procedures
  • Enquiring mind and problem-solving aptitude
  • Chartered Secretary and/or Legal qualifications
  • Experience as a Diligent Boards Administrator
